These Terms and Conditions (“Terms”) govern your access to and use of the SG-REG platform (“Platform”), operated by Max Morgan Design, Inc. (“SG-REG,” “Simple Games Registrations,” “we,” “us,” or “our”) at www.sg-reg.com, branded versions of the Platform (e.g., demo.sg-reg.com), and related services, including email and SMS notifications. By accessing or using the Platform, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you must not use the Platform.
The Platform serves two primary types of Users: Organizations (event organizers who subscribe to host sporting events) and Athletes (individuals who register for events). These Terms apply to both, with specific provisions for each where applicable.
1. Definitions
- 1.1. Athlete: An individual who creates an account on the Platform to register for sporting events hosted by Organizations.
- 1.2. Organization: An entity that subscribes to SG-REG’s services to create, manage, and host sporting event registrations using a branded version of the Platform.
- 1.3. Platform: The SG-REG software, accessible via www.sg-reg.com or branded subdomains (e.g., *.sg-reg.com or *.seniorgamesregistration.com), including all features, tools, and content provided by SG-REG.
- 1.4. Content: Any text, images, logos, or other materials uploaded by Users or generated by the Platform, including event pages, emails, and SMS messages.
- 1.5. Third-Party Services: External tools integrated with the Platform, such as Google Analytics, Authorize.net, PayPal, and Twilio.
- 1.6. SMS Notifications: Event-related text messages sent to Athletes who opt in, in compliance with 10DLC regulations.
2. Overview of Services
2.1. Purpose: SG-REG provides a customizable, branded software platform for Organizations to manage sporting event registrations. Athletes use the Platform to register for events, create accounts, and receive event-related communications.
2.2. Branding: Organizations may provide their logo, color scheme, and other branding elements, which SG-REG incorporates into event pages, registration forms, and email communications. All branded versions include “Provided by SG-REG” verbiage at the bottom.
2.3. Features: The Platform supports:
- Event creation and management for Organizations.
- Athlete registration, including collection of personal information (e.g., name, age, emergency contacts).
- Payment processing via third-party providers (Authorize.net, PayPal).
- Email and SMS notifications (via Twilio) for event updates.
- Usage analytics via Google Analytics.
2.4. Delivery: The Platform is hosted by SG-REG and accessible online. Organizations receive a branded subdomain or customized event page, and Athletes access these pages to register.
2.5. Modifications: SG-REG reserves the right to modify, suspend, or discontinue any feature or service at any time, with or without notice, provided such changes do not materially impair the core functionality for paying Organizations.
3. Eligibility and Account Creation
3.1. General Eligibility: The Platform is intended for U.S.-based Users only. There are no specific age or business type restrictions, but Users must comply with these Terms.
3.2. Organization Accounts:
Organizations must provide accurate business information (e.g., name, contact details, billing information) during sign-up at www.sg-reg.com.
Organizations are responsible for maintaining the confidentiality of account credentials and for all activities conducted under their account.
3.3. Athlete Accounts:
Athletes must provide accurate personal information (e.g., name, date of birth, emergency contact details) to create an account or register for events.
Athletes are responsible for securing their account credentials and notifying SG-REG immediately of any unauthorized access at [email protected].
3.4. Prohibited Users: SG-REG may refuse service or terminate accounts for Users who violate these Terms, engage in illegal activities, or attempt to harm the Platform.
4. SMS Notifications (10DLC Compliance)
4.1. Overview: SG-REG offers optional one-way SMS notifications for Athletes who opt in during account creation, event registration, or in-person requests at events. Messages are sent from a centralized SG-REG phone number and are limited to event-related updates (e.g., tournament milestones).
4.2. Opt-In Process:
- Athletes provide explicit consent via a self-service process on the Platform (e.g., checking a box during registration) or in-person requests.
- By opting in, Athletes authorize SG-REG to send text messages with event-related information on behalf of event organizers.
- Consent is not a condition of purchasing services or participating in events
4.3. Message Details:
- Content: Messages are strictly non-promotional and limited to event updates (e.g., schedule changes, registration confirmations). SG-REG prohibits Organizations from sending marketing or arbitrary messages.
- Frequency: Varies based on event updates (e.g., daily during tournaments, less frequent otherwise).
- Costs: Message and data rates may apply, as determined by the Athlete’s mobile carrier.
4.4. Opt-Out: Athletes may opt out at any time by:
- Replying “STOP” to any SMS message.
- Updating preferences in their account settings at www.sg-reg.com.
- SG-REG will promptly honor opt-out requests in compliance with the Telephone Consumer Protection Act (TCPA).
4.5. Compliance: SG-REG complies with TCPA and 10DLC regulations, including:
- Obtaining explicit consent before sending SMS.
- Providing clear opt-in and opt-out instructions.
- Registering SMS campaigns with carriers via Twilio.
- Prohibiting marketing or unsolicited messages.
4.6. Liability: SG-REG is not liable for carrier fees, message delivery failures, or delays caused by third-party providers (e.g., Twilio, mobile carriers).
5. Acceptable Use Policy
5.1. Permitted Uses: Users may use the Platform solely for its intended purpose: managing and registering for sporting events.
5.2. Prohibited Conduct: Users agree not to:
- Engage in malicious activity, including bypassing security measures, hacking, or scraping Platform content.
- Upload or share illegal, harmful, or infringing content (e.g., copyrighted material, defamatory statements).
- Abuse the SMS platform (e.g., sending unauthorized or marketing messages).
- Interfere with the Platform’s operation or other Users’ access (e.g., via denial-of-service attacks).
- Misrepresent their identity or provide false information.
- Use the Platform for any unlawful purpose or in violation of applicable laws.
5.3. Content Responsibility:
Organizations are responsible for ensuring their uploaded content (e.g., logos, event descriptions) does not infringe third-party rights or violate laws.
Athletes are responsible for the accuracy of their personal information.
SG-REG reserves the right to remove any Content that violates these Terms or is deemed inappropriate.
5.4. Monitoring: SG-REG may, but is not obligated to, monitor User activity and Content to enforce these Terms.
6. Payments and Billing
6.1. Organization Payments:
Organizations pay subscription or service fees as agreed during sign-up, processed securely via Authorize.net or PayPal.
Fees are non-refundable except as provided in Section 7.
Organizations are responsible for maintaining valid payment information and promptly updating expired or declined payment methods.
6.2. Athlete Payments:
Athletes pay event registration fees directly to Organizations via the Platform, processed by Authorize.net or PayPal.
SG-REG facilitates payment processing but is not a party to the transaction between Athletes and Organizations.
6.3. Taxes: Organizations are responsible for any applicable taxes on fees paid to SG-REG. Athletes are responsible for taxes on event fees, as determined by the Organization.
6.4. Third-Party Processors: Payments are subject to the terms and conditions of Authorize.net or PayPal. SG-REG is not liable for errors, delays, or disputes arising from third-party payment processing.
7. Refunds, Cancellations, and Account Suspension
7.1. Organization Policies:
Cancellation by SG-REG: SG-REG reserves the right to suspend or terminate an Organization’s account at any time, with or without cause, by providing written notice (e.g., via email to the Organization’s registered address).
Refunds: If SG-REG terminates an account without cause, a prorated refund for the remaining service period will be issued within 30 days, processed via the original payment method. No refunds will be provided if termination is due to:
- Malicious activity (e.g., attempting to bypass security, scraping content).
- Uploading illegal or infringing content.
- Abusing the SMS platform (e.g., sending marketing messages).
Cancellation by Organization: Organizations may cancel their subscription by contacting [email protected]. No refunds will be issued for partial billing periods.
7.2. Athlete Policies:
Event Policies: Refunds, cancellations, and suspensions related to events are governed by the relevant Organization’s policies. SG-REG is not responsible for event-related disputes.
Account Suspension: SG-REG may suspend an Athlete’s account for malicious activity (e.g., tampering with the Platform, scraping content, or other harmful actions). Suspended Athletes will lose access to their account and event registrations.
7.3. Effect of Suspension or Termination:
Upon suspension or termination of an Organization’s account, access to the Platform, including branded event pages and associated data (e.g., Athlete registrations), may be restricted or deleted, subject to applicable laws. Organizations are responsible for exporting any critical data prior to termination.
For Athletes, suspension results in loss of access to their account and any pending event registrations. SG-REG will notify affected Athletes via email or through the Platform, unless the suspension is due to urgent security concerns (e.g., malicious activity).
SG-REG is not liable for any losses, including missed events or financial damages, resulting from account suspension or termination, except as provided in Section 7.1 regarding Organization refunds.
7.4. Event-Specific Policies:
Athletes acknowledge that event-related policies (e.g., refunds, cancellations, scheduling changes) are set by the respective Organization hosting the event. SG-REG facilitates communication between Athletes and Organizations but is not responsible for resolving disputes or enforcing event policies.
Organizations must clearly communicate their event policies (e.g., refund deadlines, cancellation terms) to Athletes via the Platform or event-specific communications. SG-REG may, at its discretion, provide templates or guidelines to assist Organizations in drafting such policies.
7.5. Dispute Resolution for Payments:
If an Organization disputes a payment made to SG-REG, they must notify SG-REG at [email protected] within 30 days of the charge. SG-REG will investigate and respond within 15 business days.
Athletes with payment disputes (e.g., event fees) must contact the relevant Organization directly. SG-REG is not a party to such disputes but may assist in facilitating communication upon request.
8. Intellectual Property
8.1. SG-REG Ownership:
The Platform, including its software, user interface, design, code, documentation, and the “SG-REG” and “Simple Games Registrations” trademarks, is owned by Max Morgan Design, Inc. and protected by United States copyright, trademark, and other intellectual property laws.
Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purpose (managing or registering for sporting events), subject to compliance with these Terms. This license does not permit Users to modify, distribute, or create derivative works of the Platform.
8.2. Organization Branding:
Organizations may upload logos, color schemes, and other branding elements to customize their event pages, registration forms, and email communications. By uploading such Content, Organizations grant SG-REG a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, display, and distribute these elements solely for the purpose of providing and promoting the Services (e.g., displaying logos on branded event pages).
Organizations represent and warrant that they own or have the necessary rights to their uploaded branding elements and that such elements do not infringe any third-party intellectual property rights or violate applicable laws.
8.3. Provided By Verbiage:
All branded versions of the Platform, including event pages, registration forms, and email/SMS communications, will include “Provided by SG-REG” or similar verbiage at the bottom or in a visible location. This verbiage is non-negotiable and reflects SG-REG’s role as the service provider.
Organizations may not remove, obscure, or alter this verbiage without SG-REG’s prior written consent.
8.4. User Content:
Users retain ownership of their Content, such as event descriptions (by Organizations) or personal information (by Athletes). By uploading or submitting Content, Users grant SG-REG a worldwide, non-exclusive, royalty-free license to use, store, process, and display such Content as necessary to provide the Services (e.g., displaying event details, sharing Athlete information with Organizers).
SG-REG reserves the right to remove or modify User Content that violates these Terms, infringes third-party rights, or is deemed inappropriate (e.g., illegal or offensive material).
8.5. Feedback and Suggestions:
If Users provide feedback, suggestions, or ideas about the Platform (“Feedback”), SG-REG may use such Feedback without restriction or compensation. Feedback is considered non-confidential and non-proprietary.
Users agree not to submit Feedback that infringes third-party rights or violates applicable laws.
8.6. Infringement Claims:
If you believe Content on the Platform infringes your intellectual property rights, contact SG-REG at [email protected] with a detailed description of the alleged infringement, including evidence of your rights and the specific Content in question. SG-REG will investigate and take appropriate action, which may include removing the Content.
9. Third-Party Services
9.1. Integrated Services: The Platform relies on third-party services to deliver certain functionalities, including:
- Google Analytics: Collects anonymized data on Platform usage (e.g., page views, session duration) to improve performance and user experience.
- Authorize.net and PayPal: Process payments for Organization subscriptions and Athlete event fees.
- Twilio: Sends email and SMS notifications to Users, including event updates and registration confirmations.
9.2. Third-Party Terms and Policies:
Use of third-party services is subject to their respective terms of service and privacy policies, which Users agree to comply with. Links to these policies are available via the providers’ websites (e.g., www.google.com/analytics, www.authorize.net, www.paypal.com, www.twilio.com).
SG-REG is not responsible for the availability, performance, or policies of third-party services, including any changes to their terms or service interruptions.
9.3. Data Sharing:
SG-REG shares User data with third-party providers only as necessary to provide the Services (e.g., payment details with Authorize.net, phone numbers with Twilio for SMS). Such sharing is governed by SG-REG’s Privacy Policy and the third-party providers’ policies.
Users acknowledge that third-party providers may store or process data in accordance with their own practices, which may include servers located outside the United States.
9.4. Liability for Third-Party Services:
SG-REG is not liable for any losses, damages, or disputes arising from third-party services, including payment processing errors, SMS delivery failures, or data breaches caused by third-party providers.
Users must resolve disputes with third-party providers directly, though SG-REG may assist in facilitating communication upon request.
10. Limitation of Liability
10.1. No Warranties:
The Platform is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
SG-REG does not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
10.2. Liability Cap:
To the fullest extent permitted by law, SG-REG’s aggregate liability for any claims, losses, or damages arising from these Terms or use of the Platform shall not exceed the total fees paid by the User (or Organization) to SG-REG in the 12 months preceding the claim. If no fees were paid (e.g., by Athletes), SG-REG’s liability is limited to $100.
10.3. Excluded Damages:
SG-REG is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or event participation, even if SG-REG was advised of the possibility of such damages.
Specific exclusions include:
- Losses due to event cancellations, refunds, or disputes managed by Organizations.
- Failures or delays in SMS or email delivery caused by Twilio or mobile carriers.
- Unauthorized access to User accounts resulting from User negligence (e.g., sharing passwords).
- Errors or disputes in payment processing by Authorize.net or PayPal.
10.4. Force Majeure:
SG-REG is not liable for any failure or delay in performing its obligations due to events beyond its reasonable control, including but not limited to natural disasters, pandemics, cyberattacks, power outages, or third-party service interruptions (e.g., carrier outages).
10.5. Basis of Bargain:
The limitations in this section are a fundamental part of the agreement between SG-REG and Users and reflect the allocation of risk. The Platform would not be provided without these limitations.
11. Indemnification
11.1. User Obligation:
You agree to indemnify, defend, and hold harmless SG-REG, its affiliates, officers, directors, employees, and agents (“Indemnified Parties”) from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:
- Your use of the Platform, including any Content you upload or submit.
- Your violation of these Terms or applicable laws.
- Infringement of any third-party rights, including intellectual property or privacy rights, caused by your Content or actions.
- Disputes between Athletes and Organizations (e.g., event cancellations, refund disputes).
11.2. Indemnification Procedure:
SG-REG will notify you in writing of any claim subject to indemnification. SG-REG may, at its discretion, assume control of the defense and settlement of such claim, provided you remain liable for any resulting costs or damages.
You agree to cooperate fully with SG-REG in the defense of any claim and not to settle any claim without SG-REG’s prior written consent.
11.3. Scope:
This indemnification obligation survives the termination of your account or these Terms.
12. Governing Law and Dispute Resolution
12.1. Governing Law:
These Terms and any disputes arising hereunder shall be governed by the laws of the State of California, without regard to its conflict of law principles.
12.2. Exclusive Jurisdiction:
Any legal action or proceeding arising from these Terms shall be brought exclusively in the state or federal courts located in San Diego, California. Users irrevocably consent to the personal jurisdiction and venue of such courts.
12.3. Informal Resolution:
Before initiating any legal action, Users agree to attempt to resolve disputes informally by contacting SG-REG at [email protected]. SG-REG will respond within 30 days and work in good faith to resolve the issue.
If the dispute remains unresolved after 60 days, either party may pursue formal remedies.
12.4. Class Action Waiver:
Users agree to resolve disputes on an individual basis and waive any right to participate in a class, collective, or representative action against SG-REG. Any claims must be brought in the User’s individual capacity.
12.5. Statute of Limitations:
Any claim arising from these Terms must be filed within one (1) year of the event giving rise to the claim, or it will be barred, except as otherwise provided by law.
13. Changes to These Terms
13.1. Modification Right:
- SG-REG reserves the right to modify these Terms at any time by posting the updated version on www.sg-reg.com with a new “Last Updated” date.
13.2. Notification: - Material changes (e.g., changes affecting User rights or obligations) will be communicated to Users via email, a Platform notice, or a prominent banner on the website at least 15 days before taking effect. Non-material changes (e.g., clarifications) may take effect immediately.
13.3. Acceptance: - Continued use of the Platform after the effective date of updated Terms constitutes acceptance of the changes. If you do not agree to the updated Terms, you may terminate your account by contacting [email protected] within 30 days of the update.
13.4. Archival: - Previous versions of these Terms will be archived and available upon request by emailing [email protected]
14. Miscellaneous
14.1. Entire Agreement:
These Terms, together with the SG-REG Privacy Policy, constitute the entire agreement between you and SG-REG regarding the Platform, superseding any prior agreements, whether written or oral.
14.2. Severability:
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be modified to the extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
14.3. Waiver:
SG-REG’s failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision unless acknowledged in writing by SG-REG.
14.4. Assignment:
Users may not assign, transfer, or delegate their rights or obligations under these Terms without SG-REG’s prior written consent. SG-REG may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets.
Any attempted assignment in violation of this section is void.
14.5. Notices:
Notices to SG-REG must be sent to [email protected]. Notices to Users will be sent to the email address associated with their account or displayed via the Platform.
Notices are deemed received 24 hours after being sent by email or immediately upon posting on the Platform.
14.6. No Agency:
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between SG-REG and any User. Users may not bind SG-REG to any agreement or obligation.
14.7. Survival:
Provisions of these Terms that by their nature should survive termination (e.g., intellectual property, limitation of liability, indemnification, governing law) will remain in effect after termination of your account or these Terms.
14.8. Headings:
Section headings are for convenience only and do not affect the interpretation of these Terms.
